1. INTRODUCTION

The Platform and Services are provided by ZoonKash Private Limited, a company incorporated and registered under the laws of India, with registered address at Jammu & Kashmir ("ZoonKash", "we", "us", "our", or "Company") and is made available to you, the end-user ("you" or "User").

1.2 Binding Agreement

By accessing, browsing, or using the Platform or Services, or by clicking "I agree" or a similar button or checkbox, you acknowledge that you have read, understood, and agree to be bound by all terms, conditions, and notices contained in these Terms. If you do not agree with all or any part of these Terms, please do not access or use the Platform or Services.

1.3 Your Representation and Warranty

You represent and warrant that:

You have the legal capacity and authority to enter into and be bound by these Terms;
You are of the age of majority (18 years or older) as per Indian law;
You are not a minor, person of unsound mind, undischarged insolvent, or otherwise barred from contracting under applicable Indian laws;
All information you provide is accurate, complete, and truthful; and
Your use of the Platform and Services complies with all applicable laws and regulations.

1.4 Amendments to Terms

ZoonKash reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. Material changes will be communicated to you via email or through the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms. We recommend you review these Terms periodically to remain informed of any updates.

1.5 Geographical Scope

The Platform and Services are operated in compliance with the laws of India. We make no representation that the content, products, or services available on the Platform are appropriate for access or use outside India. If you access the Platform from outside India, you do so at your own risk and are solely responsible for compliance with applicable local laws in your jurisdiction.

2. OUR SERVICES AND PRODUCTS

2.1 Overview

The Platform facilitates the following services:

Display and online sale of hair care products, wellness items, and related products ("Products");
Product information, descriptions, and recommendations;
Processing of purchase orders and facilitating transactions;
Customer support services;
Any additional services made available on the Platform from time to time.

2.2 Products Offered

ZoonKash offers a range of chemical and health-care related products manufactured and distributed by or through our licensed premises. Products may include, but are not limited to, hair care products, shampoos, oils, serums, cosmetics, wellness supplements, and related items, all manufactured in compliance with applicable laws and regulations.

2.3 Third-Party Services

The Platform may include or link to services provided by third parties ("Third-Party Services"). ZoonKash is not responsible for Third-Party Services and makes no warranties or representations regarding their accuracy, quality, or reliability. Your use of Third-Party Services is solely at your risk and governed by their respective terms and conditions.

3. ELIGIBILITY AND ACCOUNT TERMS

3.1 Eligibility

Use of the Platform is available only to:

Individuals who are residents of India and of legal age to form binding contracts;
Persons who are not barred from contracting under applicable Indian law;
Persons not previously suspended or removed from our platform.

Users below 18 years of age may use the Platform only through their legal guardian, who shall be responsible for their compliance with these Terms.

3.2 Account Creation

To access certain features and make purchases, you must register and create an account ("Account") by providing accurate, complete, and truthful information. You agree to:

Maintain the confidentiality of your account credentials and password;
Update your account information promptly to keep it current and accurate;
Notify us immediately of any unauthorized access or breach of your Account;
Not share your Account with any third party;
Not create multiple accounts without our prior written consent.

3.3 Account Responsibility

You are solely responsible for:

All activities occurring under your Account;
Maintaining the security and confidentiality of your account credentials;
Immediately notifying us of any unauthorized use or security breach;
Exiting your Account at the end of each session.

ZoonKash is not liable for any loss, damage, or unauthorized access resulting from your failure to maintain account security.

3.4 Account Termination

We reserve the right to suspend, deactivate, or terminate your Account at any time, with or without cause, without prior notice. Upon termination, your right to use the Platform terminates immediately.

4. PRODUCT PURCHASE AND SALE

4.1 Placing an Order

Displaying Products on the Platform is an invitation for you to make an offer to purchase.
Your placement of an order constitutes your offer to purchase the Product(s) at the listed price.
We will send you an order confirmation via email or SMS acknowledging receipt of your order ("Order Confirmation"). This is not acceptance of your offer.
We accept your offer only when the Product is dispatched and you receive a shipment confirmation ("Shipment Confirmation") via email or SMS.
We reserve the right to refuse, cancel, or modify any order at our sole discretion and for any reason before dispatch.

4.2 Availability and Pricing

All Products are subject to availability. Listing a Product does not guarantee its continuous availability.
Prices are subject to change without notice. The price at the time of placing your order is the price you agree to pay.
We make reasonable efforts to provide accurate product information and pricing. However, errors may occur.
In case of pricing errors due to technical glitches, we reserve the right to refuse or cancel the order or correct the price.
All prices are exclusive of applicable taxes, duties, and charges, which will be added to your invoice at checkout.
Shipping and handling charges, if applicable, are displayed at checkout.

4.3 Order Cancellation

You may request to cancel an order within a specified timeframe before dispatch. Once an order is dispatched, cancellation may not be possible. Cancellations are subject to our Cancellation and Refund Policy.

4.4 Dispatch and Delivery

Products will be dispatched to the address provided by you during checkout.
Dispatch timeframes provided are estimates and not guarantees.
We are not responsible for delays caused by circumstances beyond our control, including but not limited to natural disasters, strikes, lockouts, infrastructure failures, or governmental orders.
Products will be packaged safely to ensure secure delivery.
The risk of loss or damage to Products transfers to you upon delivery to the courier or delivery partner.
Delivery partners act as your agent for the purpose of receiving the Products. We are not liable for any loss, damage, or negligence on the part of delivery personnel.

4.5 Invoicing

Upon dispatch of your order, an invoice will be generated and sent to your registered email and/or mobile number. The invoice details the Products purchased, quantities, prices, applicable taxes, and any shipping charges.

5. PAYMENT TERMS AND CONDITIONS

5.1 Payment Methods

Payment for Products can be made through various payment methods available on the Platform, including but not limited to credit cards, debit cards, digital wallets, UPI, and net banking, as applicable.

5.2 Payment Processing

Payments are processed through third-party payment gateways and aggregators ("Payment Processors").
We are not responsible for any failures, delays, or errors by Payment Processors.
You agree to be bound by the terms and conditions of the relevant Payment Processor.
In case of payment failure, amounts debited will be reversed as per the Payment Processor's terms.
We use industry-standard encryption and security measures to protect your payment information.

5.3 Price Accuracy

We strive to provide accurate pricing. However, if a Product is listed at an incorrect price due to any technical or human error, we reserve the right to refuse or cancel the order.
Prices displayed in your shopping cart are subject to change until final checkout. Placing a Product in your cart does not reserve that price.

5.4 Taxes and Duties

All prices displayed are exclusive of applicable Goods and Services Tax (GST) and other levies.
Taxes will be calculated and added to your invoice as per applicable rates.
You are responsible for payment of any customs duties or local taxes if you access the Platform from outside India.

5.5 Refunds and Returns

Your eligibility for returns and refunds is governed by our separate Refunds, Returns, and Cancellation Policy, which is incorporated into these Terms by reference. Please refer to that policy for detailed terms.

6. USER RESPONSIBILITIES AND CONDUCT

6.1 Permitted Use

You agree to use the Platform and Services only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that:

Violates any applicable law or regulation;
Infringes upon the intellectual property rights of ZoonKash or third parties;
Contains or transmits viruses, malware, or harmful code;
Constitutes unauthorized access or hacking;
Impersonates another person or entity;
Harasses, abuses, threatens, or defames any individual or entity;
Contains obscene, pornographic, hateful, or discriminatory content;
Promotes illegal activities, gambling, money laundering, or terrorism;
Disrupts the normal operation of the Platform.

6.2 Prohibited Conduct

You shall not:

Copy, reproduce, distribute, or publish any content from the Platform without permission;
Use automated tools, bots, or scrapers to access or extract data from the Platform;
Collect or compile data about Users without consent;
Resell, redistribute, or commercially exploit Products or Services without authorization;
Attempt to circumvent security measures or access restricted areas;
Post false, misleading, or defamatory information;
Solicit personal information from other Users;
Create multiple accounts to circumvent restrictions or engage in fraudulent activities;
Engage in price discrimination, arbitrage, or market manipulation.

6.3 User-Generated Content

If you submit any content, comments, suggestions, feedback, or other materials to the Platform ("User Content"), you grant ZoonKash a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, distribute, and display such User Content. You warrant that you own all rights to the User Content and that its use does not violate any third-party rights.

6.4 Responsibility for Accuracy

You are solely responsible for ensuring that all information you provide is accurate, complete, and current. ZoonKash is not liable for any loss or damage resulting from inaccurate, incomplete, or false information provided by you.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership

All content on the Platform, including but not limited to text, graphics, logos, images, software code, design elements, and compilation thereof, is the property of ZoonKash or its licensors and is protected under copyright, trademark, and other intellectual property laws ("Company Content").

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Company Content for personal, non-commercial use only. This license does not include the right to:

Download or copy the Company Content except as permitted for personal use;
Modify, adapt, or create derivative works;
Publish, distribute, or transmit the Company Content;
Resell or use the Company Content for commercial purposes;
Remove or alter any copyright, trademark, or attribution notices.

7.3 Trademarks

All trademarks, logos, and brand names displayed on the Platform, including "ZoonKash," are the property of ZoonKash or their respective owners. You may not use these trademarks without our prior written consent or that of the respective owners.

7.4 Your Content License

Any feedback, suggestions, comments, or content you provide to us may be used by ZoonKash for any purpose, without compensation or attribution, to the maximum extent permitted by law.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 As-Is Basis

The Platform and Services are provided on an "AS-IS" and "AS-AVAILABLE" basis. ZoonKash makes no warranties, express or implied, regarding:

The accuracy, completeness, or reliability of the Platform or Services;
The quality, suitability, or merchantability of Products;
That the Platform will be uninterrupted, error-free, or secure;
That defects will be corrected; or
That the Platform meets your specific requirements.

8.2 Disclaimer of Warranties

To the maximum extent permitted by law, ZoonKash expressly disclaims all warranties, including:

Warranties of merchantability, fitness for a particular purpose, and non-infringement;
Warranties regarding the safety, legality, or regulatory compliance of Products;
Warranties about the accuracy of product descriptions or images;
Any warranty arising from course of dealing, usage, or trade practice.

8.3 Third-Party Content and Services

ZoonKash is not responsible for any Third-Party Services, content, or products linked to or referenced on the Platform. Use of such Third-Party Services is at your sole risk and subject to their terms and conditions.

8.4 Health and Safety Disclaimer

Products sold on the Platform are chemical and health-care related items. ZoonKash does not provide medical or health advice. Users are responsible for:

Consulting with qualified healthcare professionals before using any health-related Products;
Ensuring that Products comply with local laws and regulations in their jurisdiction;
Verifying that they have any required licenses or permits to use or possess Products;
Following all usage instructions and warnings provided with Products.

8.5 No Liability for Certain Events

ZoonKash shall not be liable for:

Any loss, damage, or disruption caused by events beyond our reasonable control, including natural disasters, wars, strikes, epidemics, or governmental actions;
Any failure to perform our obligations due to such events;
Delays or disruptions in delivery services;
Errors or omissions in Product descriptions or pricing;
Loss of data or service interruptions;
Unauthorized access or use of your Account.

8.6 Limitation of Liability

To the fullest extent permitted by applicable law:

Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by you in the transaction giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or wasted expenditure.
These limitations apply regardless of the nature of the claim (contract, tort, negligence, strict liability) or whether we have been advised of the possibility of such damages.

8.7 User Assumption of Risk

You acknowledge that your use of the Platform and purchase of Products is at your sole risk. You assume full responsibility for any consequences arising from your use.

9. DATA PROTECTION AND PRIVACY

9.1 Privacy Policy

Your use of the Platform and provision of personal information is governed by our separate Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data collection, use, and protection practices.

9.2 Consent to Data Collection

By using the Platform, you consent to the collection, processing, and use of your personal information as described in the Privacy Policy.

9.3 Data Security

We use industry-standard security measures to protect your data. However, no data transmission over the internet is completely secure. You acknowledge the inherent risks and agree that ZoonKash is not liable for any unauthorized access or data breaches.

10. DISPUTE RESOLUTION AND GOVERNING LAW

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You agree that the courts in India shall have exclusive jurisdiction over any disputes.

10.2 Dispute Resolution Process

Before pursuing any legal action:

You agree to attempt to resolve the dispute informally by contacting our customer service;
If informal resolution fails, you may escalate to our Grievance Officer;
If the dispute remains unresolved, you may pursue arbitration or litigation as described below.

10.3 Arbitration

Any disputes, controversies, or differences that cannot be resolved through negotiation shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be:

Held in India (venue to be specified by us);
Presided over by a single arbitrator appointed by mutual agreement or as per the Act;
Conducted in English;
Subject to confidentiality obligations;
Final and binding on both parties.

10.4 Jurisdiction

To the extent permitted by law, all disputes shall be subject to the exclusive jurisdiction of the courts located in India. You irrevocably submit to such jurisdiction.

10.5 Cost Allocation

Each party shall bear its own costs and expenses relating to dispute resolution, except as otherwise determined by the arbitrator or court.

11. TERMINATION AND SUSPENSION

11.1 Termination by Us

We may suspend or terminate your access to the Platform and your Account at any time, immediately and without notice, if:

You breach any provision of these Terms;
You engage in fraudulent, harmful, or illegal activities;
We reasonably believe your Account poses a security risk or legal liability;
We cease operations or discontinue the Services;
Required by applicable law or governmental order.

11.2 Termination by You

You may terminate your Account at any time by contacting our customer service. Upon termination, your right to use the Platform ceases immediately.

11.3 Effect of Termination

Upon termination:

Your Account will be deactivated;
You lose access to all Services;
Any outstanding amounts due become immediately payable;
Provisions that by their nature are intended to survive termination shall remain in effect.

11.4 Survival

The following provisions survive termination: Intellectual Property Rights, Limitation of Liability, Disclaimers, Dispute Resolution, and Confidentiality.

12. MODIFICATIONS TO SERVICES

ZoonKash reserves the right to:

Add, modify, suspend, or discontinue any features, functionality, or Services at any time;
Change the Platform's appearance, functionality, or structure;
Restrict or remove access to any Products or Services;
Impose new or additional charges for Services.

We are not liable for any modifications, suspensions, or discontinuations of Services.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ZoonKash, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Platform or Services;
Your purchase or use of Products;
Your breach of these Terms or any applicable law;
Your violation of any third-party rights;
Any User Content you provide or actions you take;
Your access to or use of Third-Party Services.

These Terms, together with our Privacy Policy, Cancellation and Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and ZoonKash regarding your use of the Platform and Services.

15.2 Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full effect.

15.3 Waiver

Our failure to enforce any right under these Terms does not constitute a waiver of such right. Any waiver must be in writing and signed by both parties.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. ZoonKash may assign its rights or obligations to any affiliate, subsidiary, successor, or purchaser without notice to you.

15.5 No Third-Party Beneficiaries

These Terms are solely for the benefit of you and ZoonKash. No third party has any rights or claims under these Terms.

15.6 Force Majeure

ZoonKash shall not be liable for any failure to perform our obligations if such failure is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, wars, epidemics, strikes, governmental actions, or infrastructure failures.

15.7 Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and ZoonKash.

15.8 Headings

Section headings are for convenience only and do not affect the interpretation or application of these Terms.

16. REGULATORY COMPLIANCE

16.1 Compliance with Law

ZoonKash operates in compliance with applicable laws and regulations in India, including but not limited to:

The Consumer Protection Act, 2019;
The Information Technology Act, 2000;
The Goods and Services Tax laws;
Environmental and chemical safety regulations;
All other applicable central and state laws.

16.2 Compliance by Users

You agree to comply with all applicable laws, regulations, and licensing requirements in your jurisdiction regarding your use of the Platform and Products. You are solely responsible for determining what permissions, licenses, or authorizations you may need.

17. FRAUD AWARENESS AND DISCLAIMER

Please be aware that unauthorized parties may fraudulently claim to represent ZoonKash to deceive users. To protect yourself:

Only use the official ZoonKash website ( zoonkash.com ) and authorized applications;
Never provide sensitive information (card details, CVV, passwords) to unknown parties;
Verify the authenticity of communications claiming to be from ZoonKash;
Report fraudulent activities to local law enforcement and to us immediately.

ZoonKash shall not be liable for any losses resulting from fraudulent activities undertaken by unauthorized parties.
